Legal support of the company’s day to day operations

Registration of the limited liability companies.

The following documents and data are required to begin registration of the LLC:

• copies of the founders’ passports and tax ID number certificates – individuals and executives (director and chief accountant);
• properly certified copies of the incorporation documents of the founder – legal entity;
• if the founders are individuals, registered as private entrepreneurs, additionally the copy of State Registration Certificate should be provided;
• company name;
• company legal address;
• amount and method of forming statutory capital.

Registration of the open and closed joint-stock companies.

The following documents are required to begin registration:

• copy of the passports of the founders and executives (director and chief accountant);
• copy of the tax ID number certificates of the founders and executives.

Registration of the private entrepreneurs.

The following documents and data are required to begin registration:

• copies of the passports and tax ID number certificates of the owners (founders) – individuals and executives (director and chief accountant);
• properly certified copies of the incorporation documents of the founder – legal entity;
• if the founders are individuals, registered as private entrepreneurs, additionally the copy of State Registration Certificate should be provided;
• company name;
• company legal address;
• amount and method of forming statutory capital.

Making alterations to the incorporation documents.

The following documents are required to make alterations to the LLC company incorporation documents:

• filled out registration card to register alterations to the incorporation documents of the legal entity;
• decision to make alterations to the Articles  of incorporation (it confirms the legal basis of the decision to make alterations to the Articles  of incorporation)
• original of the latest version of the Articles  of incorporation  (if Articles  of incorporation have been lost, completely or partially, the announcement about it in mass-media should be provided);
• two copies of the alterations to the Articles  of incorporation (in form of addendums or new version of the Articles );
• payment receipt of the registration fee.

Registration of the company in FRRO (Foreigner Regional Registration Office), receiving permission for job placement for foreigners and certificates for part-time residence.

The following documents are required to begin registration of the company in the FRRO:

• Company application;
• 3 photos of people in charge of  the cooperation with foreigners;
• Notarized copy of the State Registration Certificate of the company and Articles of incorporation;
• Copy of Statistics Agency statement stamped by the company
• Original of the bank statement of the company account;
• Notarized copy of the contract of the office space rental, if the office space is owned by the company – notarized copy of the documents confirming the ownership of the premises;
• Copy of the Company Appointment of the persons in charge of collecting and processing documents for the foreign partners stamped by the company;
• Copy of the company director’s passport, if director is a foreign citizen, additionally a copy of the Work Permit stamped by the company should be provided;
• Payment receipts of the FRRO services and State fee.

Registration of the trade marks.

The following documents and data are required to begin registration:

For legal entities:

• Copy of the State Registration Certificate;
• Statement from Statistics Agency;
• Copy of the director’s passport and tax ID number certificate;
• Mailing address and contact telephone numbers;
• Trade mark image in the electronic version;
• Letter of attorney from the company.

For individuals:

• Passport data and Tax ID number certificate;
• Mailing address and contact telephone numbers;
• Trade mark image in the electronic version;
• Notarized letter of attorney.
